General Terms of Use

These General Terms of Use ("Terms") govern access to and use of the Likpi Fast & Light CMDB software ("the Software") provided by LIKPI SAS ("Likpi", "we", "our"). By downloading, installing, or using the Software, you agree to these Terms in full.
Article 1 - Definitions
- "Software": the Likpi Fast & Light CMDB application, including all its modules, updates, and documentation
- "Community Edition": the free, self-hosted version of the Software, as described on the download page
- "Commercial License": a paid license (Start, Scale, or Enterprise) granting extended rights and support
- "Client": any organisation or individual who downloads, installs, or uses the Software
- "User": any person who accesses the Software under a Client account
- "CMDB data": configuration items, relationships, and any data stored within the Software's database, which belong exclusively to the Client
Article 2 - License grant
2.1 Community Edition
LIKPI SAS grants a free, non-exclusive, non-transferable, revocable license to download, install, and use the Community Edition for internal, non-commercial purposes. Redistribution, sublicensing, or use in a managed service offering requires explicit written authorisation from LIKPI SAS.
2.2 Commercial licenses
Commercial licenses (Start, Scale, Enterprise) grant the Client a non-exclusive, non-transferable right to use the Software in accordance with the scope, number of users, and duration specified in the corresponding license agreement. Commercial licenses include software updates and support as defined per tier.
2.3 Restrictions
The Client may not:
- Decompile, reverse engineer, or disassemble the Software beyond what is permitted by applicable law
- Remove, alter, or obscure any copyright notices or proprietary markings
- Sublicense, resell, or transfer the Software to any third party without prior written consent
- Use the Software to develop a competing product or service
Article 3 - Intellectual property
The Software, its source code, algorithms, interfaces, and documentation are the exclusive intellectual property of LIKPI SAS and are protected by French and international copyright law. This license does not transfer any ownership rights to the Client.
CMDB data entered by the Client remains the exclusive property of the Client. LIKPI SAS has no access to Client data in self-hosted deployments.
Article 4 - Data sovereignty and self-hosting
The Likpi Fast & Light CMDB is designed as a fully self-hosted solution. No data is transmitted to LIKPI SAS servers during normal operation. The Client is solely responsible for the infrastructure, security, backup, and availability of their deployment environment.
LIKPI SAS does not collect telemetry, usage data, or configuration information from self-hosted instances unless the Client explicitly activates an optional remote support feature.
Article 5 - Availability and support
- Community Edition: provided "as is", with no availability guarantee or technical support SLA. Community support is available at community.likpi.com
- Start: best-effort support via community channels and email ticketing
- Scale: dedicated support with response time commitments as specified in the license agreement
- Enterprise: custom SLA, on-site support options, and dedicated account management as negotiated
Article 6 - Updates and versioning
LIKPI SAS publishes updates, patches, and new versions at its sole discretion. Commercial license holders receive major and minor updates during the license period. LIKPI SAS reserves the right to discontinue any version with reasonable prior notice.
Article 7 - Warranty disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LIKPI SAS DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.
Article 8 - Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIKPI SAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LIKPI SAS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, LIKPI SAS'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY THE CLIENT FOR THE LICENSE IN THE 12 MONTHS PRECEDING THE CLAIM.
Article 9 - Termination
This license is effective until terminated. LIKPI SAS may terminate this license immediately if the Client breaches any provision of these Terms. Upon termination, the Client must cease all use of the Software and destroy all copies in their possession.
Termination of a Commercial license by the Client must comply with the terms set out in the signed license agreement and applicable notice periods.
Article 10 - Governing law and jurisdiction
These Terms are governed by French law, excluding its conflict of law provisions. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the Commercial Court of Thionville (Tribunal de Commerce de Thionville), France.
Before initiating legal proceedings, the parties agree to attempt to resolve any dispute amicably within 30 days of written notice by either party.
Article 11 - Modifications
LIKPI SAS reserves the right to update these Terms at any time. Clients will be notified of material changes via the website or email (for Commercial license holders). Continued use of the Software after notification constitutes acceptance of the revised Terms.
